Foreign Oklahoma LLCs cost $300 and foreign Oklahoma corporations have a $300 state filing fee. Both require an Oklahoma registered agent. Foreign corporations must also pay the Department of Revenue $100 to act as their registered agent, but the Department of Revenue will only send you a letter if you are served.

When filing a certificate of authority as a foreign corporation or LLC in Oklahoma, you need to get a Certificate of Good Standing from your home state. It must be an original copy and current within 60 days. Here is a list of home state fees from some of the common states that people are from:

  • Texas:  $15
  • Kansas: $15
  • Arkansas: $28

Oklahoma LLCs have a $100 filing fee. Oklahoma corporations cost a minimum of $50 or $1 per $1000 of total authorized capital. All domestic Oklahoma entities must maintain an Oklahoma registered agent.

You can make these filings for corporations and LLCs by mailing the forms and a check payment to the Oklahoma Business Filing Department at the address listed above. You can also file in person and online. Mailed, online and in person filings are processed by the state within 3-5 business days after they receive them. You can pay an additional $25 and file in person to have it processed while you wait.

Once registered to do business in Oklahoma, you must submit a Beneficial Ownership Information (BOI) report to the Financial Crimes Enforcement Network (FinCEN). Effective January 1, 2024, most new businesses must submit this mandatory federal filing after company formation. For companies formed in 2024, this means within 90 days of official formation with the state, and for companies created in and after 2025, this means with in 30 days. Any company formed before 2024 must file by January 1, 2025. Filing must be completed online through the FinCEN database and is free. None of the information in this report goes on the public record. We offer $25 BOI report filing services to reduce your filing burden.

Foreign corporations do not have to file annual certificates but they have to file the Annual Business Activity Tax Return by July 1st and pay a minimum $125 fee to the Oklahoma Tax Commission. Domestic corporations do not have to file annual reports, but have to file Oklahoma Annual Business Activity Tax Return by July 1st each year and have a minimum $25 fee.
